Terms of service

Vorsa helps a restaurant run its operations: checklists, line checks, inventory counts, recipe costing, supplier invoices, and related records.

It is not a point-of-sale system, a payroll processor, or an accounting ledger. It sits alongside those and, where you connect them, exchanges data with them. It does not replace them and is not a system of record for your books.

You are responsible for who you give accounts to and what permissions you grant them. Accounts are for named individuals; a shared device account, where you use one, is still your responsibility.

You are responsible for the accuracy of what your staff enter. Vorsa records what it is told and calculates from it; it cannot know that a count was guessed or an invoice mis-keyed.

You own everything you put into Vorsa. We do not claim ownership of it, we do not sell it, and we do not use it to train models.

We may use aggregated, de-identified information about how the service is used to improve it. This never includes your business’s figures, your suppliers, your prices, or anything identifying you or your staff, and it is never shared with other customers in a form that could identify you.

You can export your data at any time, and we will provide it in a usable format if you ask.

Connecting QuickBooks is optional and is authorised by you. While connected, Vorsa reads your chart of accounts and vendor list, and writes bills into Accounts Payable — and nothing else.

A bill is created only when one of your people clicks to post it. You choose which invoice, and you choose when.

You are responsible for your books. Vorsa posts what you tell it to post, using the account mappings you confirm. We do not review your bookkeeping, and a bill posted to an account you mapped incorrectly is a mapping you can change and a bill you can correct in QuickBooks. We strongly recommend reviewing the first posted bills before relying on the connection, and the software is built to make that possible: every bill it creates is identifiable by your own invoice number and by a memo naming its Vorsa record.

Some features read documents automatically — most notably photographed supplier invoices — and propose values from them.

These are proposals, not decisions. Extracted invoices are checked against the document’s own totals before they are treated as reliable, and a person approves an invoice before anything is posted anywhere. Automated output can be wrong; the review step is not a formality.

We aim to keep Vorsa available and will not pretend to a guarantee we have not engineered. There is no uptime commitment in these terms today. If that changes it will be stated here explicitly with a figure, not implied.

Some features require a working connection. Where a feature works offline, the service says so on the screen.

Fees, billing periods and notice for changes are set out in your order or subscription agreement. Where no such agreement exists — during a pilot, for instance — the service is provided without charge and either party may stop at any time.

You can stop using Vorsa at any time. On request we will export your data and then delete it, within 60 days, except where law requires us to keep something longer.

We may suspend an account for non-payment, or where use of the service threatens its security or other customers. Except in an emergency we will tell you first and give you a chance to resolve it.

Records already posted to your accounting system remain there. They are yours.

This section needs a lawyer’s review before it binds anyone. The intent is: the service is provided as-is; we are not liable for indirect or consequential loss; and our total liability is limited to the fees paid in the preceding twelve months. Nothing here is intended to exclude liability that cannot lawfully be excluded.

What we do commit to plainly: we will not misuse your data, we will tell you promptly if it is compromised, and we will not make it hard to leave.

We will give account holders notice before a material change takes effect. Continuing to use the service after that is acceptance; if you do not accept, you may stop and take your data with you.
